The real issue is bad mgmt. IF someone is near retirement, it is time to begin training their replacement(s) to gain the expertise and knowledge. In the last year, they should be assitants to the new project leads to help mentor them and insure they are prepared to take on that role. Any bonus, etc. for them should be tied to that and provided 1yr after they retire - if the new guy can't hack it or they need that person back, they lose the bonus (or it's used to pay them) !
